Description: In a sea of ambiguous regulations, we will review the nuances of the various state USF funding mechanisms, and how they compare with the federal USF. Purchase Agreement Pitfalls and How to Avoid Them

This session will address common telecommunications tax issues that arise during transactions and how the transaction’s purchase agreement can either help avoid or exacerbate those issues. It may not be hard to find standard contract language to drop into a purchase agreement, but if both parties to the agreement do not understand how that language impacts their obligations regarding who will pay telecommunications taxes, it can cause significant post-closing conflict between the buyer and seller.
